Terms of Service

1. Agreement to these terms

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. The Service

Zlim converts 3D models in supported formats to optimized GLB files. We provide the Service through our website, a hosted REST API, a command-line tool, and an MCP server. We may add, change, or remove features over time.

3. Eligibility and accounts

You must be at least 16 years old to use the Service. You are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials and API keys confidential, and notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to:

• upload or process content you do not have the rights to, or that infringes others’ intellectual property or other rights;
• use the Service for anything unlawful, harmful, deceptive, or abusive;
• attempt to disrupt, overload, or circumvent the Service’s security, rate limits, or quotas;
• reverse engineer, resell, or misrepresent the Service except as permitted by law;
• use the Service to build a competing product by systematically extracting our software or data.

5. Your content and license

You keep all ownership of the 3D models you upload and the optimized outputs you receive (“Your Content”). You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely to provide the Service to you — for example, to run an optimization and deliver the result.

You represent that you have the rights necessary to upload Your Content and to grant this license, and that Your Content does not violate these Terms or any law.

6. Our intellectual property

The Service — including our software, website, optimization engine, and the Zlim name and logo — is owned by ModaX, Inc. and protected by intellectual-property laws. These Terms grant you no right to our trademarks or software beyond the right to use the Service as intended.

7. Plans, billing, and quotas

The Service offers a free tier and paid subscription plans. Each plan grants a monthly quota of optimizations; jobs beyond your quota are rejected with a prompt to upgrade, rather than charged per use. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe, and renew automatically until cancelled.

You authorize us and Stripe to charge your payment method for the plan you select, including applicable taxes. Prices may change; we will give notice of any change to recurring prices before it takes effect.

8. Cancellation and refunds

You can cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods or unused quota.

9. API keys and rate limits

API access uses secret API keys tied to your account. You are responsible for all use of your keys and must keep them secret; you can revoke and rotate them at any time. We apply rate limits and quotas to keep the Service reliable, and may throttle or suspend usage that threatens its stability or violates these Terms.

10. Availability and changes

We work to keep the Service available and reliable, but provide it on an “as available” basis. We may modify, suspend, or discontinue any part of the Service, and perform maintenance, at any time. We are not liable for any resulting unavailability.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While the Zlim engine is deterministic and reports the changes it makes, we do not warrant that the Service will be uninterrupted or error-free, or that an optimized output will meet your specific requirements. You are responsible for reviewing outputs before relying on them.

12. Limitation of liability

To the maximum extent permitted by law, ModaX, Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim and USD 100.

13. Indemnification

You agree to indemnify and hold ModaX, Inc. harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or the rights of others.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or others. On termination your right to use the Service ends; provisions that by their nature should survive — such as disclaimers, limitations of liability, and indemnities — will survive.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. To the extent permitted by law, you agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from these Terms or the Service.

16. Changes to these terms

We may update these Terms from time to time. When we make material changes we will update the “Last updated” date and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
